End User Licence Agreement

Your rights to use the Priventix software — a legal agreement between you and Priventix B.V. governing Priventix AV and Priventix VPN.

⚠ Important — Read Carefully

This End User Licence Agreement ("EULA") is a legal agreement between you and Priventix B.V. By installing, copying, or using the Software, you agree to be bound by the terms of this EULA. If you do not agree, do not install or use the Software and promptly request a refund in accordance with our Refund Policy.

Section 01

Licence Grant

Subject to the terms of this EULA and payment of applicable fees, Priventix grants you a limited, non-exclusive, non-transferable, revocable licence to:

Install and use the Software on the number of computers specified in your purchased plan (1, 3, or 5 computers, or any extension purchased via the device upsell).
Use the Software solely for your personal or internal business security purposes.
Make one copy of the Software for backup purposes only.

Section 02

Licence Restrictions

You may NOT:

Install or use the Software on more computers than your licence permits.
Copy, reproduce, distribute, sell, resell, sublicence, rent, lease, or lend the Software to any third party.
Modify, translate, adapt, merge, or create derivative works based on the Software.
Reverse engineer, disassemble, decompile, or otherwise attempt to derive the source code of the Software, except to the extent permitted by applicable law.
Remove, alter, cover, or obfuscate any copyright, trademark, or other proprietary rights notices contained in the Software.
Use the Software in any manner that could damage, disable, overburden, or impair Priventix systems or networks.
Use the Software to provide commercial managed security services to third parties without express written permission from Priventix.
Transfer the Software or your licence to another party without Priventix's prior written consent.

Section 03

VPN Acceptable Use

The Priventix VPN component is subject to the following additional restrictions. You may not use Priventix VPN for:

Any activity that is illegal under the laws of the Netherlands, your country of residence, or any other applicable jurisdiction.
Circumventing geo-restrictions where such circumvention is prohibited by applicable law or the terms of a third-party service.
Transmitting or facilitating the transmission of unsolicited commercial communications (spam).
Distributing malware, ransomware, viruses, or any other malicious code.
Attempting to gain unauthorised access to computer systems, networks, or user accounts.
Harassment, stalking, threatening or abusing any individual or group.

Section 04

Updates and Maintenance

Priventix may release updates, patches, or new versions of the Software during your licence period. These updates may be installed automatically. This EULA applies to all updates unless they are accompanied by a separate licence agreement.

We reserve the right to modify, suspend, or discontinue any feature of the Software with reasonable notice.

Section 05

Ownership and Intellectual Property

The Software is licensed, not sold.

Priventix and its licensors retain all title, ownership, and intellectual property rights in and to the Software, including all copies, modifications, and derivative works. Your licence does not convey any ownership interest.

Priventix, the Priventix logo, Priventix AV, Priventix VPN, and related marks are trademarks of Priventix B.V.

Section 06

Privacy and Data

The Software may collect certain technical and usage data as described in the Priventix Privacy Policy. Priventix B.V. is the primary data controller and processor. Payment processing is handled jointly by Priventix B.V. and Handl (wehandl.io) as Merchant of Record.

Strict no-logs VPN policy.

Priventix VPN does not record or store your browsing activity, connection logs, DNS queries, or the content of any communication transmitted through the VPN.

Section 07

Third-Party Components

The Software may include or be bundled with third-party open-source software components. These components are licensed under their respective open-source licences, details of which are available at priventix.ai/open-source. Nothing in this EULA restricts your rights under applicable open-source licences.

Section 08

Term and Termination

8.1 Term

Effective from the date you first install or use the Software, continuing for the duration of your purchased licence period, subject to renewal in accordance with your subscription terms.

8.2 Termination by You

You may terminate this EULA at any time by uninstalling the Software and destroying all copies. Your right to a refund upon termination is governed by the Refund Policy.

8.3 Termination by Priventix

Priventix may terminate your licence immediately upon written notice if you materially breach this EULA and fail to remedy the breach within 14 days of notification. Termination does not entitle you to a refund unless required by law.

8.4 Effect of Termination

Upon termination, all rights cease immediately. You must uninstall and destroy all copies of the Software. Sections 5, 9, 10, 11, and 12 survive termination.

Section 09

Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. PRIVENTIX EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

PRIVENTIX DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM ALL THREATS, VIRUSES, OR MALICIOUS CODE. NO SECURITY PRODUCT CAN GUARANTEE COMPLETE PROTECTION.

Your statutory consumer rights are always protected.

Nothing in this clause limits any statutory rights you have as a consumer under Dutch or EU law.

Section 10

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PRIVENTIX BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF REVENUE, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SOFTWARE.

PRIVENTIX'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THIS EULA SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU FOR THE SOFTWARE IN THE 12 MONTHS PRECEDING THE CLAIM.

The above limitations do not apply to: (a) death or personal injury caused by negligence; (b) fraud; or (c) any liability that cannot be excluded under Dutch or EU law.

Section 11

Governing Law and Dispute Resolution

This EULA is governed by the laws of the Netherlands, without regard to conflict of law principles. Any dispute arising out of or relating to this EULA that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the competent courts of Amsterdam, the Netherlands.

EU consumers — Online Dispute Resolution

If you are a consumer resident in the European Union, you may use the EU ODR platform at ec.europa.eu/consumers/odr for the resolution of disputes.

Section 12

General

Entire agreement: This EULA, together with the Terms of Service, Privacy Policy and Refund Policy, constitutes the entire agreement between you and Priventix with respect to the Software.
Severability: If any provision is held unenforceable, the remaining provisions continue in full force.
No waiver: Failure to enforce any provision shall not constitute a waiver.
Assignment: You may not assign your rights under this EULA without Priventix's prior written consent. Priventix may assign its rights to a successor entity.
Amendments: Priventix may amend this EULA with 30 days' notice by email or prominent website notice.
