This End User Licence Agreement ("EULA") is a legal agreement between you and Priventix B.V. By installing, copying, or using the Software, you agree to be bound by the terms of this EULA. If you do not agree, do not install or use the Software and promptly request a refund in accordance with our Refund Policy.

Subject to the terms of this EULA and payment of applicable fees, Priventix grants you a limited, non-exclusive, non-transferable, revocable licence to:

Updates and Maintenance

Priventix may release updates, patches, or new versions of the Software during your licence period. These updates may be installed automatically. This EULA applies to all updates unless they are accompanied by a separate licence agreement.

We reserve the right to modify, suspend, or discontinue any feature of the Software with reasonable notice.

Ownership and Intellectual Property

The Software is licensed, not sold.

Priventix and its licensors retain all title, ownership, and intellectual property rights in and to the Software, including all copies, modifications, and derivative works. Your licence does not convey any ownership interest.

Priventix, the Priventix logo, Priventix AV, Priventix VPN, and related marks are trademarks of Priventix B.V.

Section 06

Privacy and Data

The Software may collect certain technical and usage data as described in the Priventix Privacy Policy. Priventix B.V. is the primary data controller and processor. Payment processing is handled jointly by Priventix B.V. and Handl (wehandl.io) as Merchant of Record.

Priventix VPN does not record or store your browsing activity, connection logs, DNS queries, or the content of any communication transmitted through the VPN.

Third-Party Components

The Software may include or be bundled with third-party open-source software components. These components are licensed under their respective open-source licences, details of which are available at priventix.ai/open-source. Nothing in this EULA restricts your rights under applicable open-source licences.

Section 08

Term and Termination

8.1 Term

Effective from the date you first install or use the Software, continuing for the duration of your purchased licence period, subject to renewal in accordance with your subscription terms.

8.2 Termination by You

You may terminate this EULA at any time by uninstalling the Software and destroying all copies. Your right to a refund upon termination is governed by the Refund Policy.

8.3 Termination by Priventix

Priventix may terminate your licence immediately upon written notice if you materially breach this EULA and fail to remedy the breach within 14 days of notification. Termination does not entitle you to a refund unless required by law.

8.4 Effect of Termination

Upon termination, all rights cease immediately. You must uninstall and destroy all copies of the Software. Sections 5, 9, 10, 11, and 12 survive termination.

Disclaimer of Warranties

Your statutory consumer rights are always protected.

Nothing in this clause limits any statutory rights you have as a consumer under Dutch or EU law.

Section 10

Limitation of Liability

The above limitations do not apply to: (a) death or personal injury caused by negligence; (b) fraud; or (c) any liability that cannot be excluded under Dutch or EU law.

Section 11

Governing Law and Dispute Resolution

This EULA is governed by the laws of the Netherlands, without regard to conflict of law principles. Any dispute arising out of or relating to this EULA that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the competent courts of Amsterdam, the Netherlands.
